Important – please read these terms and conditions carefully. The following terms and conditions (the "Terms of Use") apply to the website, application and services offered by Gateway+ Pte Ltd. (“us” or “we” or “our” or “Gateway”), in connection with our partners, service providers, sponsors, or other affiliates. This includes the mobile and tablet versions as well as any other version of Gateway accessible via desktop, mobile, tablet, social media or other devices (together, the “Platform”).

The Platform is an online mechanism primarily for digital learning, tracking general mental wellbeing and providing education and career guidance services (the “Services”). The Terms of Use, as well as the privacy policy set forth at https://gateway-plus.com/privacy-policy/ (the “Privacy Policy”), apply to your use of the Services provided on or through the Platform.

By registering and using the Platform, you agree to be bound by the Terms of Use. If you do not accept the Terms of Use, you should discontinue the use of the Services and the Platform immediately. We may modify the Terms of Use from time to time, and such modification shall be effective upon its posting on the Gateway website at https://gateway-plus.com/terms-of-use/. You agree to be bound by any modification to these Terms of Use when you use the Platform after any such modification is posted; it is, therefore, important that you review the Terms of Use regularly. 

By using the Services, you agree that you are at least thirteen (13) years of age. If you are above thirteen (13), but below eighteen (18), you must have a parent or legal guardian read and agree to these terms on your behalf. It is the responsibility of parents and legal guardians to determine whether any of the content and/or services are appropriate for their child. 

By registering and using the Platform, you represent and warrant that you have the full right, power and authority, or have the consent of a parent or guardian, to agree to this Terms of Use and to fully perform all of your obligations hereunder. You further represent and warrant that you are under no legal disability or contractual restriction that prevents you from agreeing to this Terms of Use.

Certain features of the Platform may permit users to upload software, text, graphics, images, video, audio, data and other material (collectively referred to as the “User Content”) and to publish the User Content on the Platform. By uploading the User Content to or via the Platform, you agree and affirm that:

• you are the creator and owner of the User Content, or have all the necessary licenses, rights, consents, and permissions to authorize Gateway and users of the Services to use and distribute the User Content as necessary to exercise the licenses granted by you in this Terms of Use, in the manner contemplated by Gateway, the Services, and these Terms of Use;
  
  
• the User Content, and the use of the User Content as contemplated by these Terms of Use, does not and will not: (a) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (b) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (c) cause Gateway to violate any law or regulation;
  
  
• the User Content could not be deemed by a reasonable person to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate; and
  
  
• the User Content does not and will not contain hateful content, a threat of physical harm, or harassment.
  
  

You are solely and exclusively responsible for the content and the consequences of publishing the User Content. 

When you use our Service to create the User Content or provide the User Content to or via the Platform, you immediately grant us a license that is worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable. This license allows us to use, modify, adapt, copy, create derivative works of, store, distribute, perform, and display the User Content and any name, username, voice, or likeness provided in connection with the User Content. We can use the User Content in all currently existing and future created media formats and channels. The license further grants us the right to make the User Content available for broadcast, distribution, publication, or syndication by other companies, organizations, or individuals who we partner with. Additionally, you agree that we have the right to remove metadata associated with the User Content and you irrevocably waive any claims and assertions of moral rights or attributions as it relates to the User Content.

We are under no obligation to edit or control the User Content that you or other users post or publish, and will not be in any way responsible or liable for the User Content. We may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates these Terms of Use or is otherwise objectionable. You understand that when using the Platform, you will be exposed to User Content from a variety of sources and acknowledge that User Content may be inaccurate, offensive, indecent, or objectionable. You agree to waive, and do waive, any legal or equitable right or remedy you have or may have against us with respect to the User Content. If notified by a user or an User Content owner that User Content allegedly does not conform to these Terms of Use, we may investigate the allegation and determine in our sole discretion whether to remove the User Content, which we reserve the right to do at any time and without notice. For clarity, we do not permit copyright-infringing activities on the Platform and we are not responsible for the accuracy, safety or legality of the User Content published on or via the Platform.

We do not control and do not have any obligation to monitor: (a) the User Content; (b) any content made available by third parties; or (c) the use of the Platform by its users. If at any time we choose to monitor the User Content, we assume no responsibility or liability for the User Content or any loss or damage incurred as a result of the monitoring of the User Content. During monitoring, information may be examined, recorded, copied, and used in accordance with our Privacy Policy.

The Platform is for personal use only and may not be used in connection with any commercial endeavours except those that are specifically approved by us. The following activities are expressly prohibited:

• collecting personal information of other users by electronic or other means;
  
  
• any use of the Platform, which in our sole judgment, degrades the reliability, speed, or operation of the Platform or any underlying hardware or software thereof, including but not limited to, disrupting the operations of the Service by uploading malware, spyware, disseminating viruses or other malicious code, or disrupting any network, equipment, or server, etc.;
  
  
• access, monitor, reproduce, distribute, transmit, broadcast, display, sell, license, copy or otherwise exploit any content on the Platform, including but not limited to, using any robot, spider, web scraping, web harvesting, web data extraction methods or other automated means or any manual process for any purpose not in accordance with these Terms of Use or without our express written permission;
  
  
• “frame”, “mirror” or otherwise incorporate any part of the Services into any other websites or services without our prior written authorization;
  
  
• attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by Gateway in connection with the Services;
  
  
• circumvent, disable or otherwise interfere with security-related features of the Platform or features that prevent or restrict use or copying of any content on the Platform;
  
  
• download any content on the Platform unless it’s expressly made available for download by Gateway; and
  
  
• any use of the Platform which is unlawful or in violation of these Terms of Use.

For your convenience, the Platform may include hyperlinks to, and content and data from, third parties (“External Content”), which is protected by copyright, trademark, patent, trade secret and other laws. We own and retain all rights, title and interest in the External Content. The External Content may include educational content originating from and created by third parties that we do not own or control, and Gateway cannot accept responsibility for the contents of or the consequences of accessing any External Content. 

Furthermore, any reference to any third-party or the External Content on the Platform does not constitute an endorsement or recommendation of such third-party or the External Content by Gateway or any of its employees, officers, independent contractors, agents or other representatives. The content of such External Content is developed and provided by others. Any reference to any third-party on the Platform is provided to you for informational purposes only. We encourage you to conduct your own research and due diligence regarding such third parties and the External Content, while work to ensure the information on Gateway is current and accurate. You agree that your access to and/or use of the External Content is entirely at your own risk and subject to these Terms of Use.

A license (the "Gateway License") grants access to the Platform as well as permission to use the learning resources, diagnostic tools, and data analysis program (the “Resources”) as part of the Services. Each user using the Resources must have the Gateway License in order to obtain the necessary permission. It is not permitted to share a Gateway License with any other third parties. Purchasers of Gateway Licenses (the “Licensee”) may not resale, distribute or otherwise share the Gateway License with third parties. Gateway Licenses must be maintained for continued permission to use the Resources. 

In order to access the Service, or use the Resources, you need to obtain a Username. Usernames are either selected by, or issued to, individual subscribers or subscribers (collectively, "Users") within a learning institution (the “Schools”) as part of the registration process. You agree to provide us with accurate, complete, unique and updated contact information for each Licensee using the Resources or accessing the Services. Failure to do so will constitute a breach of these Terms of Use, which may result in immediate termination of your rights to use the Resources or access the Services. You may not (a) select or use a Username of another person with the intent to impersonate that person, (b) use a name subject to the rights of any other person without written authorization from that individual, or (c) use a Username that we, in our sole discretion, deem inappropriate or offensive. You are responsible for maintaining the confidentiality of your username and password, and you will be responsible for all uses of your username and password, whether or not authorized by you.

You also agree that Usernames may not be shared with any third parties. They may only be used by the Licensee. Users remain at all times solely and fully responsible for the proper use of Usernames issued hereunder. Parents or legal guardians of the Users also agree to supervise and take full responsibility for the use of the Platform by minors between the age of 13 and 18 years.
You are responsible for notifying us immediately of any known or suspected unauthorized use(s) of the Gateway License, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your Username. You must also promptly change your Username to prevent unauthorized access to your Gateway License. We will have no liability for any circumstances arising from the unauthorized use of a Username or your Gateway License. Any fraudulent, abusive, or otherwise illegal activity on your Gateway License may be reported to appropriate law-enforcement agencies by us.

Partial refunds will not be issued upon termination of your subscription. In the event that you express intention to terminate your subscription, whether via written communication or by terminating the subscription through your Account, your subscription will continue until the end of the payment cycle.

The Resources contained in or accessed through the Platform are provided on an “as is” and “as available” basis and are of a general nature which have not been verified, considered or assessed by any member of Gateway in relation to the making of any specific investment, business, financial or commercial decision. The Resources are provided for general information only and you should seek professional advice at all times and obtain independent verification of the Resources before making any decision based on any Resources. 

Gateway does not warrant the truth, accuracy, adequacy, completeness or reasonableness of the Resources contained in or accessed through the Platform and expressly disclaims liability for any errors in, or omissions from, the Resources. No warranty of any kind, implied, express or statutory (including but not limited to, warranties of title, merchantability, satisfactory quality, non-infringement of third-party intellectual property rights, fitness for a particular purpose and freedom from computer virus and other malicious code), is given in conjunction with the Resources, or the Platform in general.
 
Under no circumstances shall Gateway be liable regardless of the form of action for any failure of performance, system, server or connection failure, error, omission, interruption, breach of security, computer virus, malicious code, corruption, delay in operation or transmission, transmission error or unavailability of access in connection with your accessing the Platform and/or using the Services even if Gateway had been advised as to the possibility. In no event shall Gateway be liable to you or any other party for any damages, losses, expenses or costs whatsoever (including without limitation, any direct, indirect, special, incidental or consequential damages, loss of profits or loss opportunity) arising in connection with your use of the Platform, or reliance on any information, materials or online services provided at the Platform, regardless of the form of action and even if Gateway had been advised as to the possibility of such damages.

We partner with Schools to deliver our Services. User Content may be provided to your School through the Platform. The Schools are neither our employees nor agents nor representatives. The Platform’s role is limited to enabling the Schools to access the User Content for the sole purpose of and solely to the extent necessary for monitoring and understanding the state of mental development of Users. We will share your personally identifiable information or non-identifying and aggregated information with Schools in order to fulfil our legal and contractual obligations to the Schools. While we require every School accessing User Content from the Platform or from us to agree to our Privacy Policy and will enter into confidentiality and non-disclosure agreements with all Schools that have access to the User Content which will prohibit them from using or disclosing the User Content except for the purpose of providing the Services, we do not guarantee absolute security. We are not responsible for the unauthorized acts of others and we assume no liability for any disclosure of information due to errors in transmission, unauthorized third-party access (such as through hacking) or other acts of third parties, or acts or omissions beyond our reasonable control. 

Whilst we hope that the Services are beneficial to you, you understand, agree and acknowledge that they may not be the appropriate solution for everyone’s needs and that they may not be appropriate for every particular situation and/or may not be a complete substitute for a face-to-face examination and/or care in every particular situation. 

If you are thinking about suicide or if you are considering harming yourself or others or if you feel that any other person may be in any danger or if you have any medical emergency, you must immediately call the emergency service number in your country and notify the relevant authorities. Seek immediate in person assistance. The platform is not designed for use in any of the aforementioned cases and we cannot provide the assistance required in any of the aforementioned cases. The platform is not intended for the provision of clinical diagnosis requiring an in-person evaluation and you should not use it if you need any official documentation or approvals for purposes such as, but not limited to, court-ordered counseling. It is also not intended for any information regarding which drugs or medical treatment may be appropriate for you, and you should disregard any such advice if delivered through the platform. Do not disregard, avoid, or delay in obtaining in-person care from your doctor or other qualified professional because of the information or advice you received through the platform.

Any health information and links on the Platform, whether provided by Gateway or by third party providers, is provided simply for your convenience. Any advice or other materials in the Platform are intended for general information purposes only. They are not intended to be relied upon and are not a substitute for professional medical advice based on your individual condition and circumstances. The advice and other materials we make available are intended to support the relationship between you and your healthcare providers and not replace it. We are not liable or responsible for any consequences of your having read or been told about such advice or other materials as you assume full responsibility for your decisions and actions. In particular, to the fullest extent permitted by law, we make no representation or warranties about the accuracy, completeness, or suitability for any purpose of the advice, other materials and information published as part of the Platform.

We are not licensed medical professionals, and we are not in the business of providing medical advice. You should always consult a qualified and licensed medical professional prior to beginning or modifying any diet or exercise program.

Your use of the platform does not create a doctor-patient relationship between you and gateway.

You hereby agree to indemnify and save Gateway harmless against all damages, losses, expenses and costs (including legal costs) suffered or incurred by Gateway in connection with or arising from (1) your access of the Platform and/or use of the Services, or (2) any other party’s access of this Platform and/or use of the Services using your Username, or (3) your breach of any of these Terms of Use, or (4) any other party’s breach of any of these Terms of Use where such party was able to access this Platform and/or use the Services by using your Username.

You must schedule your classes at least 24 hours in advance.

You must reschedule your classes at least 24 hours in advance if you are unable to attend. If notice is not properly served, your lesson shall be forfeited.

The recommended duration of coaching is as follows:
- Test Preparation (ESL) – 30 to 60 hours
- Test Preparation (Med/Law) – 10 to 20 hours
- Test Preparation (US/MBA) – 20 to 30 hours
- Personal Branding – 3 to 4 hours
- Personal Statement Writing – 6 to 8 hours
- Interview Skills – 6 to 8 hours
- 1 School / Scholarship Application – 10 to 15 hours; each additional school / scholarship – 6 hours
- Career Coaching – 6 to 10 hours
- Life Coaching – 10 to 20 hours

The recommended duration of each meeting is 1 or 2 hours. Meetings less than 1 hour will be rounded up to 1 hour.

If you are late, the meeting will end at the scheduled time and no additional time will be provided.

Changes to Classes
All timings, locations and coaches are subject to change at any time. Gateway will notify you of all changes made to your classes via the email address provided during registration.

Service Validity Period
Personal coaching services are valid for 6 months from the date of purchase.

Withdrawal
If you have enrolled and wish to withdraw, you must submit your request to support@gateway-plus.com. All requests shall be processed within 7 working days. If notice is served properly, you shall receive a refund of the unused balance.

Notice Period
Notice period for Personal coaching: 1 month All refunds are subject to an administrative charge that amounts to 15% of the programme fee.

Nothing herein shall be construed as a representation by Gateway that the information and materials contained in or accessed through this website is appropriate or available for use in geographic areas or jurisdictions other than Singapore. By accessing the Platform and/or using the Services, you agree that such access and/or use, as well as these Terms of Use shall be governed by, and construed in accordance with, the laws of Singapore and you agree to submit to the non-exclusive jurisdiction of the Singapore courts.

These Terms of Use together with the Privacy Policy and any other legal notices published by Gateway shall constitute the entire agreement between you and the Company concerning and governs your use of the Platform.

These Terms of Use and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Gateway without restriction.

The information and materials contained in or accessed through this website shall not be considered or construed as an offer or solicitation to sell, buy, give, take, issue, allot or transfer, or as the giving of any advice in respect of shares, stocks, bonds, notes, interests, unit trusts, mutual funds or other securities, investments, loans, advances, credits or deposits in any jurisdiction. 

The information and materials herein are subject to change (including, without limitation, modification, deletion or replacement thereof) without notice. 

Gateway may terminate your access to this website and/or your use of the online services at any time without notice and without assigning any reason therefor.

If any part of these Terms of Use is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not in any way be affected or impaired. Our failure or delay in enforcing any provision of these Terms of Use at any time does not waive our right to enforce the same or any other provision(s) hereof in the future.
